Article-4: Employer’s Obligations and Powers in terms of Termination and Dispute under JCT IC 2011

This article discusses the employer’s power and duties with respect to termination and dispute resolution under the express provisions of JCT Intermediate Contract 2011.
The employer has the power to terminate the contractor’s employment by written notice served by recorded, special or actual delivery, if the contractor has not ceased a specified default within 14 days of receiving a default notice (clause 8.4.2). The employer, by written notice, can terminate the contractor’s employment, upon or within reasonable time of the contractor repeating a default (clause 8.4.3).

If the contractor is insolvent, the employer has the power to terminate the contractor’s employment at any time by giving notice (clause 8.5.1). After insolvency, the employer can take reasonable measures to ensure that the site, works and materials are reasonably protected (clause In an occasion that the contractor commits a corrupt act, the employer can terminate the contractor’s employment by written notice (clause 8.6).

If the contractor’s employment is terminated under clauses 8.4, 8.5 or 8.6; the employer has the power to employ and pay others to carry out the works (clause 8.7.1); and can take possession of the site and use all temporary building, etc. If within 6 months from termination, the employer decides not to complete the works, the employer can forthwith notify the contractor in writing and within a reasonable time of such notification; or, if no notice is given but the employer doesn’t begin work during the 6 month period; then under clause 8.8.1, the employer can send a statement to the contractor setting out the total value of work properly executed and any other amount due to the contractor and the aggregated amount of expenses and direct loss and/or damage caused to the employer.

The employer can terminate the contractor’s employment within 28 days of loss or damage; if just and equitable (schedule 1 para C.4.4) and within 7 days of receiving a termination notice; the employer can invoke the dispute resolution procedures (schedule 1 pare C4.4.1). The employer has the power to agree to indemnify the contractor against the legal costs incurred in relation to taking action for the recovery of monies from the named sub-contractor after termination.
An employer has the power to agree to resolve a dispute by mediation (clause 9.1). If the employer wishes a dispute to be resolved by arbitration, it is his duty to serve the contractor written notice (clause 9.4.1). After the arbitrator has been appointed, the employer can give further arbitration notice to the contractor referring to any other dispute (clause 9.4.3). The employer and the contractor jointly, send a written notice to the arbitrator, stating that they wish the arbitration to be conducted.
The employer has the power to issue notice to the contractor identifying purchaser or tenant and interest in the work, and require the contractor to enter into the warranty. The warranty must be executed within 14 days of receipt of notice using form CWa/P&T (clause 7.5). The employer can also issue a notice to the contractor to identify a funder and require the contractor to enter into a warranty. Such warranty must also be executed within 14 days of receipt of notice using form CWa/F (clause 7.6).

An employer has the power to issue a notice to the contractor identifying the subcontractor and require the sub-contractor to enter into a warranty with the purchaser, tenant or funder, if the contract particulars so provide .The warranty must be executed within 21 days of receipt of notice using forms CWa/P&T or CWa/F (clause 7.7). The employer in a notice to the contractor, identify the sub-contractor and require the sub-contractor to enter into a warranty with the employer, if the contract particulars so provide. Warranty must be executed within 21 days of receipt of notice (clause 7.8).
